This digital marketing agreement has been entered between Rebecca Scott (Contractor) and Tiga Design for the scope of social media management for The Bankhead Restaurant in Canmore. (Client: Abraham Mannakuzhil)
Exact deliverable as provided by Contractor shall be the following:
Platforms: Instagram, Facebook, Google Business Profile (Google My Business)
Post Frequency*:2x/week (1 photo post and 1 reel), with 2 stories per week (depending on the amount of content provided).
- Monthly calendar & strategy including captions and hashtags
- Photos & video provided by the client
- Reel editing & post-production
- All content scheduled and posted for the client
- Keeping tabs on comments, questions & issues that may arise
- Engaging with current & potential followers & customers through likes, follows & comments
The cost of the service will be $1000/month for 3 months. If Mr. Mannakuzhil wishes to continue scope beyond 3 months, service cost will be $800/month thereafter.
Start Date & Duration
Start date will be May 1, 2023.
Tiga Design will pay Ms. Scott the fee of 80% of what the client pays Tiga Design for this scope. For example the first 3 months shall be $800/month, $640/month thereafter if the scope doesn’t change from above.
Tiga design can pay using credit card or EFT to Ms. Scott, whichever she prefers.
Terms of Agreement – The term of this Agreement (the “Term”) will begin on the date of this Agreement and will remain in full force and effect until the completion of the Services, subject to earlier termination as provided in this Agreement. The Term may be extended with the written consent of the Parties.
In the event that either Party wishes to terminate this Agreement prior to the completion of the Services, that Party will be required to provide 20 days’ written notice to the other Party.
Expenses – All expenses which the Contractor deemed necessary to conduct the scope of service must be pre-approved by Tiga Design
Performance – The Parties agree to do everything necessary to ensure that the terms of this Agreement take effect
Confidentiality – Confidential information (the “Confidential Information”) refers to any data or information relating to the Client, whether business or personal, which would reasonably be considered to be private or proprietary to the Client and that is not generally known and where the release of that Confidential Information could reasonably be expected to cause harm to the Client.
The Contractor agrees that they will not disclose, divulge, reveal, report or use, for any purpose, any Confidential Information which the Contractor has obtained, except as authorized by the Client, Tiga Design or as required by law. The obligations of confidentiality will apply during the Term and will survive indefinitely upon termination of this Agreement.
Ownership of Intellectual Property – All intellectual property and related material, including any trade secrets, moral rights, goodwill, relevant registrations or applications for registration, and rights in any patent, copyright, trademark, trade dress, industrial design and trade name (the “Intellectual Property”) that is developed or produced under this Agreement, will be the sole property of the Client. The use of the Intellectual Property by the Client will not be restricted in any manner.
The Contractor may not use the Intellectual Property for any purpose other than that contracted for in this Agreement except with the written consent of the Client. The Contractor will be responsible for any and all damages resulting from the unauthorized use of the Intellectual Property.
Independent Contractor – In providing the Services under this Agreement it is expressly agreed that the Contractor is acting as an independent contractor and not as an employee. The Contractor and the Client acknowledge that this Agreement does not create a partnership or joint venture between them, and is exclusively a contract for service.
Autonomy – Except as otherwise provided in this Agreement, the Contractor will have full control over working time, methods, and decision making in relation to provision of the Services in accordance with the Agreement. The Contractor will work autonomously and not at the direction of the Client. However, the Contractor will be responsive to the reasonable needs and concerns of the Client.
If legal proceedings shall occur for any reason regarding this digital marketing agreement the party prevailing shall have all costs, and fees in connection with that proceeding covered by opposite party.
If any terms are found unenforceable in this contract all other terms shall remain in full effect and shall not be altered unless previously agreed between parties. This Agreement shall be governed by and construed in accordance with the Province of Alberta contract laws. Any and all court proceedings regarding this Contractor service level agreement will take place at said province with travel expenses not being reimbursed for either party.
